After 9.2.1 Upgrade - OECGI2 - Forcefully rejected. (OpenInsight 32-Bit)

Just upgrade our DEV & BETA this evening from 8.03 to 9.2.1 and after upgrade the previously working web server using OECGI2.EXE now gives me the following error:
Unable to connect to Engine Server SNAME:8899 - The attempt to connect was forcefully rejected.
I noticed that the eserver.cfg file was overwritten so I have updated the port to 8899; stopped and restarted OEngineServer and still nothing…
I also stopped EES and tried:
java.exe" -jar OeSocketserver.jar -D 3
But nothing happens just sits there waiting for commands…
Any ideas?

Warren, I did stop the OES service before the upgrade and restarted after upgrade…
I did try replacing the eserver with pre-upgrade version and still nothing?
Any other ideas?

Just an update; instead of spending a lot of time trying to figure out why OECGI2 stopped working after 9.2.1 upgrade; I decided to just upgrade to OECGI3 and it seems to be working just fine… I will do some more testing…
